Welcome to Soil & Construction! These Terms of Service ("Terms") govern your access to and use of our Software-as-a-Service (SaaS) and mobile application (collectively, the "Service") provided by Soil & Construction ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access the Service.

1. Accounts When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.

2. Service Usage You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for all content you upload, post, or otherwise make available through the Service.

3. Subscription and Fees

Subscription: The Service or parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle").
Fee Changes: We may, in our sole discretion, modify the Subscription fees at any time. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. We will provide you with reasonable prior notice of any change.
Payment: All payments are processed through secure third-party payment processors. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Service.

4. Cancellations and Refunds You can cancel your Subscription at any time. Cancellations will take effect at the end of the current Billing Cycle. Refunds are generally not provided, except where required by law.

5. Intellectual Property of the Service The Service and its original content, features, and functionality are and will remain the exclusive property of Soil & Construction and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Soil & Construction.

6. User-Generated Content and Intellectual Property Rights 6.1. Your Responsibility for Content: You are solely responsible for all content, including but not limited to, text, images, videos, or any other materials that you create, upload, post, link to, or otherwise make available through the Service ("User Content"). You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and to authorize us to use all User Content as contemplated by these Terms. 6.2. Prohibited Content: You agree not to create, upload, post, or share any User Content that:

Infringes upon or violates the copyright, trademark, patent, trade secret, or any other intellectual property rights, privacy rights, or other proprietary rights of any third party.
Is unlawful, defamatory, libelous, threatening, harassing, abusive, hateful, or otherwise objectionable.
Is harmful to minors in any way. 6.3. Reporting Copyright Infringement: We respect the intellectual property rights of others. Our Service facilitates the sharing of User Content with third-party platforms, such as X (formerly Twitter). We do not host or store User Content for public display on our own Service in a manner that would typically make us a "service provider" under copyright laws like the U.S. Digital Millennium Copyright Act (DMCA). Therefore, if you believe that any User Content posted to a third-party platform via our Service infringes your copyright, you must directly contact that third-party platform (e.g., X, YouTube, etc.) using their official copyright infringement reporting mechanisms. We encourage all users to comply with applicable copyright laws and the terms of service of any third-party platforms they use in conjunction with our Service. We reserve the right to suspend or terminate the account of any user who repeatedly infringes copyrights or other intellectual property rights.

7. Termination We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms, including the provisions regarding User Content and Prohibited Content. Upon termination, your right to use the Service will immediately cease.

8. Limitation of Liability In no event shall Soil & Construction, nor its owner, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

9. Disclaimer Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

10. Governing Law These Terms shall be governed and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.

11. Dispute Resolution Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the Fukuoka District Court in Japan.

12. Changes to Terms We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
